Despite reaching a settlement agreement on March 3, 2023, where all parties agreed to sell the properties and distribute proceeds while transferring full ownership of Johnson-O’Malley Inc., the family corporation, to O’Malley, tensions remained high. The siblings had agreed that upon closing the real estate sale for $1 million on June 15, 2023, all claims would be resolved; however, disputes arose over document transfers and alleged mismanagement by the sisters.
O’Malley’s resistance to accepting corporate shares without additional documentation led to further legal proceedings. His allegations included accusations of undue influence during negotiations and breaches of settlement terms due to inadequate recordkeeping by his sisters. However, Judge Wendy J.N. Klicko affirmed that all conditions outlined in the settlement were met and dismissed O’Malley’s claims of duress as unsubstantiated.
The plaintiffs seek enforcement of the settlement agreement with specific performance regarding corporate ownership transfer and dismissal of all litigation claims with prejudice.
